1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you," "Customer") and Ventrivo Commerce LLC ("Ventrivo," "we," "us," or "our"), a limited liability company registered in the State of Mississippi, United States (Business Registration No. 2026404599), with its principal place of business at 3900 Lakeland Dr, Suite 200, Flowood, MS 39232, United States. By accessing our website, purchasing our products, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Our Services

Ventrivo provides e-commerce products and services, including marketplace sales through channels such as Amazon and TikTok Shop, international sourcing and distribution, and monthly e-commerce consulting engagements covering logistics, distribution, sales, and operations ("Services"). Descriptions and pricing of consulting tiers are set out on our Services page and may be updated from time to time.

3. Orders and Payment

All prices are stated in U.S. dollars unless otherwise noted.
Consulting services are billed monthly in advance. Your subscription continues until cancelled in accordance with Section 4.
We reserve the right to refuse or cancel any order, including where pricing or availability was listed in error. If we cancel an order after payment, we will issue a full refund of the affected amount.
You represent that you are authorized to use the payment method provided and that the billing information you supply is accurate.

4. Cancellation of Consulting Services

You may cancel a monthly consulting engagement at any time by written notice to info@ventrivocommerce.com. Cancellation takes effect at the end of the then-current billing period. Fees already paid for the current billing period are non-refundable except as described in our Shipping & Refund Policy or as required by applicable law.

5. Customer Responsibilities

You agree to provide accurate information, cooperate reasonably in the delivery of the Services, and use our website and Services only for lawful purposes. You may not use our website or Services to infringe intellectual property rights, transmit malicious code, misrepresent your identity, or engage in any fraudulent, deceptive, or unlawful activity.

6. Intellectual Property

All content on this website — including text, graphics, logos, and design — is the property of Ventrivo Commerce LLC or its licensors and is protected by applicable intellectual property laws. Deliverables prepared for you under a consulting engagement are licensed to you for your internal business use upon full payment. You may not reproduce, distribute, or create derivative works from our website content without our prior written consent.

7. Third-Party Platforms

Our Services frequently involve third-party marketplaces and platforms (including Amazon and TikTok Shop). We do not control, and are not responsible for, the policies, availability, or actions of any third-party platform. Your use of those platforms is governed by their own terms.

8. Disclaimers

Our website and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Consulting advice is provided in good faith based on information available to us; we do not guarantee any particular commercial outcome, sales volume, or marketplace result.

9. Limitation of Liability

To the fullest extent permitted by law, Ventrivo Commerce LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to these Terms or the Services. Our total aggregate liability for any claim arising out of these Terms or the Services shall not exceed the amounts paid by you to us in the three (3) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Ventrivo Commerce LLC and its members, officers, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the website or Services.

11. Termination

We may suspend or terminate your access to the website or Services if you materially breach these Terms. Sections that by their nature should survive termination (including Sections 6, 8, 9, 10, and 12) will survive.

12. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Mississippi, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Rankin County, Mississippi, and the parties consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the website or Services after changes take effect constitutes acceptance of the revised Terms.
